Accounts
When you create an account with TriCord AI, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.
You are responsible for safeguarding any passwords used to access the Service and for all activities that occur under your account(s). You agree not to share your password with any third party and to notify us immediately of any breach of security or unauthorized use of your account.
General Conditions
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
Intellectual Property
The Service and all original content, features, and functionality are and will remain the exclusive property of TriCord AI and its licensors.
Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Accuracy, Completeness, and Timeliness of Information
We are not responsible if information made available on this site is not accurate, complete, or current.

Upstream Provider Dependency
Client acknowledges that certain components of TriCord AI’s Services rely on third-party technology providers. TriCord AI does not control the availability, performance, features, or pricing of those providers. Accordingly:
- TriCord AI is not liable for interruptions, feature changes, or deprecations caused by an Upstream Provider.
- Adjustments made by an Upstream Provider do not constitute a breach of these Terms.
- TriCord AI will use commercially reasonable efforts to notify Clients of material upstream changes that may affect functionality or pricing.
Changes to Pricing
TriCord AI reserves the right to modify pricing for its Services, including platform access, subscriptions, or managed services, to reflect:
(a) changes in Upstream Provider pricing;
(b) changes in applicable taxes, regulatory fees, or third-party costs; or
(c) general business adjustments such as new service tiers or expanded functionality.
Unless otherwise stated in a signed Quote or Statement of Work (SOW):
- Notice Period: TriCord AI will provide at least thirty (30) days’ written notice prior to the effective date of any price increase.
- Effect on Subscriptions: Revised pricing will apply upon the next renewal or billing cycle following the notice period.
- Client Options: If the Client does not agree to a price increase, the Client may terminate the affected subscription before the new pricing becomes effective. Continued use of the Services after the effective date constitutes acceptance of the revised pricing.
Changes to Services or Features
TriCord AI may modify, enhance, replace, or discontinue elements of the Services or third-party integrations from time to time to maintain or improve performance, security, or user experience. TriCord AI will make reasonable efforts to minimize disruption; however:
- TriCord AI may add or remove features, update interfaces, or change system requirements without prior notice when driven by Upstream Provider updates.
- Such changes will not be deemed a material reduction in service quality or a default by TriCord AI.
- If a material feature is permanently removed and no comparable alternative is provided, the Client’s sole remedy will be to terminate the affected Services for convenience within thirty (30) days of notice.
Pass-Through of Provider Terms
Any new or modified terms imposed by an Upstream Provider that affect the Client’s use of the related platform shall automatically apply to the Client’s continued use of that platform. TriCord AI will make such terms available upon request or via written notice.
No Guarantee of Price Stability or Feature Continuity
Client acknowledges and agrees that TriCord AI cannot guarantee long-term price stability, feature continuity, or specific service levels for third-party platforms, and that the Client assumes such risks as part of using AI technologies that evolve rapidly.
Products or Services
Certain products or Services may be available exclusively online through the website. These products or Services may have limited quantities.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer.
All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion.
We reserve the right to discontinue any product at any time.
We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
Consulting and Education Services
TriCord AI provides consulting, coaching, training, and educational services to Managed Service Providers (MSPs) and businesses.
These services are intended to provide information, frameworks, and strategies to assist in decision-making. We do not guarantee specific results, financial outcomes, customer growth, or compliance with laws and regulations.
You are solely responsible for implementing strategies, processes, or recommendations provided by TriCord AI.
All results will vary depending on your unique business circumstances, resources, and execution as well as any potential economic or market conditions.
TriCord AI disclaims liability for outcomes arising from the application of our consulting or educational services. Results depend on the client’s own implementation, context, and human review.

Code of Conduct
When interacting with our staff, students, or community members, you agree to adhere to our Code of Conduct, which prohibits:
- The use of sexualized language or imagery, and sexual attention or advances of any kind.
- Trolling, insulting, or derogatory comments, and personal or political attacks.
- Public or private harassment.
- Publishing others’ private information without explicit permission.
- Other conduct which could reasonably be considered inappropriate in a professional setting.
Violation of the Code of Conduct may result in revocation of access without refund.
Refund Policy
We offer specific refund periods for different products and programs. Full details can be found on our Refund Policy page.
Refund eligibility is contingent on meeting program requirements, timely requests, and good-faith effort. Outside of defined refund periods, all sales are final.
Payment Plans
When you purchase our products or services, you may have the option to pay in full or in installments over a fixed term. By choosing a payment plan, you commit to completing all scheduled payments in full and on time.
Missed or late payments may result in suspension of access. Accounts more than 30 days overdue may be referred to collections.
Third-Party Links
Our Service may contain links to third-party websites or services that are not owned or controlled by TriCord AI.
We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

Third-Party Platforms and Services
TriCord AI acts as a master reseller of a third-party platform. Use of these platforms is subject to the provider’s own terms and policies. Client tenant accounts are provisioned under TriCord AI’s administrative dashboard, and TriCord AI may have administrative visibility to support onboarding, troubleshooting, and service management. Clients retain control of their own data within their respective tenants.
By purchasing or using access to a third-party platform through TriCord AI, you agree that:
- TriCord AI provides no warranties regarding the suitability, legality, or fitness of the platform for your business purposes.
- You assume full responsibility for your use of the platform and any data, outputs, or business decisions resulting from its use.
- TriCord AI shall not be liable for any damages, losses, or claims arising from or related to your use of third-party platforms.
- You agree to indemnify and hold TriCord AI harmless from any claims related to your use of third-party platforms.

All representations regarding features, uptime, and capabilities of third-party platforms are based on information provided by their respective developers and are subject to change without notice. All platform functionality, uptime, data processing, and security controls are provided and managed by the respective third-party platform operator. TriCord AI does not host, control, or process client data within those systems. TriCord AI assumes no liability for third-party platform performance, functionality, or service continuity.
TriCord AI makes no representations or warranties regarding the availability, performance, or results of any third-party platform. All warranties, service level agreements, and remedies are solely those provided by the platform provider. Clients are encouraged to review and accept those providers’ Terms of Service and Privacy Policies directly. ​We do not control or guarantee the accuracy, reliability, security, or outcomes of such platforms, including but not limited to AI-generated content or agent performance.
AI-generated content, recommendations, or outputs are probabilistic and should not be considered factual or complete. TriCord AI makes no warranty or representation as to the accuracy, completeness, or suitability of any AI-generated output for business decisions. Clients are solely responsible for reviewing and validating any AI-generated outputs prior to use in decision-making or business operations. Additionally, clients are solely responsible for ensuring that their use of any AI platform or automation service complies with applicable industry regulations and ethical standards. TriCord AI does not provide regulatory compliance guidance or legal review.

Clients agree to indemnify and hold harmless TriCord AI from any claims, losses, or damages arising from the use or misuse of third-party platforms resold by TriCord AI, including but not limited to data handling errors, configuration issues, or outcomes produced by AI-generated content.

Confidentiality of Third-Party Platform Provider
As part of our services, TriCord AI may provide you with access to, or facilitate your use of, certain third-party platforms and solutions (the “Third-Party Platform”). The identity of the Third-Party Platform provider(s) we resell is considered confidential business information and is a material part of TriCord AI’s business model.
By purchasing or using our services or platform access, you agree that you shall not:
- Disclose, publish, or otherwise make available the identity of the Third-Party Platform provider(s) to any third party without our prior written consent.
- Use the confidential information about the Third-Party Platform provider(s) to circumvent TriCord AI and obtain access directly from the provider, or to assist others in doing so.
- Share TriCord AI pricing, licensing terms, or reseller arrangements with any third party.
You acknowledge that unauthorized disclosure of the Third-Party Platform provider(s) could cause significant commercial harm to TriCord AI. We reserve the right to pursue any and all remedies available at law or in equity for any breach of this obligation, including but not limited to injunctive relief, damages, and termination of your access to our services.
This confidentiality obligation shall survive termination of your use of our services.
Data Privacy and Ownership
TriCord AI does not store or process client or end-user data transmitted through third-party AI platforms. All data privacy, security, and compliance obligations related to those platforms rest solely with the platform provider and the client organization.
Each MSP or business client is solely responsible for data input, collection, and compliance with all applicable privacy laws within their tenant environment. TriCord AI does not act as a data controller or processor for any end-user data processed within third-party AI platforms.

California Privacy Notice
For clients or users located in California, TriCord AI complies with applicable requirements under the California Consumer Privacy Act (CCPA/CPRA). TriCord does not sell or share personal information as defined under the Act. Clients may request information about the categories of personal information processed by contacting us here.

TriCord AI operates solely as a service provider to its clients and processes any personal data only for the limited purpose of providing Services as defined in these Terms.

Canadian Privacy Notice
For clients or users located in Canada, TriCord AI adheres to the principles of the Personal Information Protection and Electronic Documents Act (PIPEDA). Clients may request access to or correction of personal information held by TriCord AI by contacting us here.

TriCord acts as a service provider to client organizations and does not collect or process consumer data except as required to deliver contracted services.

Data Residency and Cross-Border Transfers
Clients acknowledge that TriCord AI utilizes third-party technology providers whose systems may store or process data outside of the United States or other locations outside of North America. By using our Services, the Client consents to such storage and processing.

TriCord AI does not guarantee data residency within any specific jurisdiction unless otherwise agreed in writing.

Use of Your Name, Likeness, Image, Video, or Voice
Our products and Services may offer opportunities to participate in live or online sessions where your image, video, and/or voice may be recorded, broadcast, or distributed.
By participating, you grant TriCord AI the right to use, distribute, and reproduce your name, likeness, image, video, and voice as part of the Service. You acknowledge that you will not receive compensation for such use and release TriCord AI from all liability arising out of or connected with such use.
User Comments, Feedback, and Other Submissions
If you send us creative ideas, suggestions, proposals, or other materials (collectively, “comments”), you agree that we may, without restriction, edit, copy, publish, distribute, and use any comments in any medium. We are not obligated to (1) maintain comments in confidence; (2) pay compensation; or (3) respond to comments. You agree your comments will not violate any rights of third parties or contain unlawful or obscene material. You are solely responsible for your comments.
Errors, Inaccuracies, and Omissions
Occasionally there may be information on our site that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, or availability. We reserve the right to correct errors, inaccuracies, or omissions, and to change or update information at any time without notice.
Prohibited Uses
You are prohibited from using this site, or any community app we use, or its content:

We believe education can help individuals grow their business, but we do not guarantee results. We make no earnings or success claims. Examples we share are from actual clients but are not guarantees. Every business is different and outcomes depend on your effort, skills, resources, and potential economic and market conditions.

In no case shall TriCord AI, its officers, employees, contractors, or affiliates be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, revenue, or data, arising from your use of the Service. Some jurisdictions do not allow such limitations, so these may not apply to you.
Indemnification

Client’s Obligation to Indemnify
The Client agrees to indemnify, defend, and hold harmless TriCord AI, its affiliates, officers, employees, contractors, and agents (“TriCord Indemnitees”) from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- The Client’s use of TriCord AI Services, consulting materials, or any third-party platforms integrated through TriCord;
- Any data, content, or configuration the Client submits, transmits, or manages within such platforms;
- The Client’s breach of these Terms or violation of any law, regulation, or third-party rights;
- The Client’s misuse of AI-generated outputs or failure to apply qualified human review; or
- Claims brought by the Client’s customers, end users, or third parties resulting from the Client’s use of TriCord’s Services or deliverables or third-party platforms.
TriCord retains the right to approve counsel and participate in the defense of any claim subject to indemnification at its own expense.
TriCord’s Obligation to Indemnify
TriCord agrees to indemnify, defend, and hold harmless the Client from and against any third-party claim alleging that the TriCord-provided materials or proprietary content (excluding third-party platforms) infringe any valid U.S. patent, copyright, or trademark, provided that:
- The Client promptly notifies TriCord of the claim in writing;
- The Client gives TriCord sole control of the defense and settlement of the claim; and
- The Client provides reasonable cooperation and assistance.
If such a claim arises, TriCord may, at its sole option:

Obtain the right for the Client to continue using the materials;

Replace or modify the materials to make them non-infringing; or
-
Terminate the affected portion of Services and refund prepaid fees for the unused period.
This section states TriCord’s entire liability and the Client’s exclusive remedy for any claim of intellectual-property infringement.
Indemnification Process
The indemnified party must:
- Promptly notify the indemnifying party in writing of any claim subject to indemnification;
- Provide all reasonably requested information and cooperation; and
- Not settle any claim without the prior written consent of the indemnifying party if such settlement imposes obligations, admissions, or liabilities on the indemnified party.
Limitation of Indemnification
Neither party shall be obligated to indemnify for any claim arising from:
- The other party’s gross negligence, willful misconduct, or breach of these Terms;
- The combination or modification of deliverables with systems or data not provided by the indemnifying party;
- Use of the Services in violation of applicable law or outside the scope of the license.

Services Liability
To the maximum extent permitted by law, TriCord AI’s total liability for any claim related to third-party software or services shall not exceed the amount actually received by TriCord AI for the relevant service during the preceding twelve (12) months. TriCord AI shall not be liable for any consequential, incidental, or indirect damages, including but not limited to lost profits, data loss, or business interruption.
TriCord AI maintains administrative access for service management and support. Clients are responsible for configuring their tenant environments, access controls, and data privacy settings within the third-party AI platform. TriCord AI is not responsible for data exposure or configuration errors within client-controlled environments.

Severability
If any provision of these Terms is found unlawful, void, or unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by law.
Force Majeure
Neither TriCord AI nor the Client shall be liable for any failure or delay in performance under this Agreement (except payment obligations already due) if such failure or delay results from causes beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, fire, flood, severe weather, war, terrorism, civil disturbance, labor disputes, epidemic or pandemic, governmental actions or restrictions, interruption or failure of electricity, Internet, or telecommunications service, or the unavailability of third-party platforms or hosting providers.

The affected party shall promptly notify the other party of the occurrence and use commercially reasonable efforts to resume performance as soon as practicable. If a Force Majeure event continues for more than sixty (60) days, either party may terminate the affected services upon written notice, without further liability except for fees accrued through the date of termination.

Termination
We may terminate or suspend your access to the Service immediately, without notice, if you breach these Terms. If you maintain an account, we may also suspend or terminate it for violations.
Upon termination, your right to use the Service will cease immediately. Provisions that by nature survive termination shall continue, including intellectual property, disclaimers, indemnity, non-disclosure of third-party providers, and limitations of liability.
Entire Agreement
These Terms of Use and any related policies constitute the entire agreement between you and TriCord AI, superseding prior agreements. Any ambiguities shall not be construed against the drafting party.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of laws principles. The parties agree that the state and federal courts located in Oklahoma County, Oklahoma, shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms, and each party consents to the personal jurisdiction of such courts.

Compliance with Applicable Laws
TriCord AI complies with applicable U.S. federal and state laws governing privacy and data protection, including but not limited to the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), and similar state privacy laws in effect within the United States.

If TriCord AI collects or processes limited personal information from clients or end users in Canada, such processing will comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) or applicable provincial privacy legislation.

TriCord AI does not market or provide services to individuals or organizations located in the European Union, European Economic Area, or the United Kingdom, and the General Data Protection Regulation (GDPR) does not apply to its services.

Changes to Terms of Use
We reserve the right, at our discretion, to update or replace these Terms at any time by posting updates to our website. For material changes, we will provide reasonable notice (at least 30 days when practical) before they take effect. Continued use of the Service after changes are posted constitutes acceptance.
